Terms of Service

You must be at least 18 years old and legally able to enter into a binding contract to use the Services. If you are using the Services on behalf of an organization, you represent that you are authorized to bind that organization.

Arcesso provides AI deployment services including voice agents, automations, websites, custom platforms, and related professional services. The scope, fees, and timeline of any engagement will be set out in a separate written agreement, statement of work, or order form.

You agree not to:

• Use the Services in violation of any law or regulation;
• Attempt to gain unauthorized access to any system, account, or data;
• Reverse engineer, decompile, or copy proprietary components of the Services;
• Use the Services to send spam, malicious code, or harmful content;
• Use the Services in a manner that infringes intellectual property or privacy rights of others.

You retain all rights to content and data you provide to Arcesso. You grant us a limited license to use that content and data solely to operate and improve the Services for you. We process personal data as described in our Privacy Policy.

All software, designs, documentation, and materials created by Arcesso remain the property of Arcesso, except for deliverables expressly assigned to you under a separate written agreement. Open-source components are governed by their respective licenses.

Fees for the Services will be set out in your engagement agreement or order form. Unless otherwise stated, invoices are due net 14 days. Late payments may accrue interest at 1.5% per month or the maximum rate permitted by law, whichever is lower.

The Services may integrate with third-party platforms (e.g., Meta, Google, OpenAI, Twilio, calendar providers). Your use of those platforms is governed by their own terms, and Arcesso is not responsible for the availability or behavior of third-party services.

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. AI OUTPUTS MAY CONTAIN ERRORS OR INACCURACIES; YOU ARE RESPONSIBLE FOR REVIEWING AND VALIDATING ALL OUTPUTS BEFORE RELYING ON THEM.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARCESSO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE. ARCESSO’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO ARCESSO IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

You agree to indemnify and hold harmless Arcesso, its officers, employees, and contractors from any claims, damages, or expenses arising from your breach of these Terms, your content, or your use of the Services.

We may suspend or terminate your access to the Services at any time for breach of these Terms. Upon termination, your right to use the Services ceases immediately, but sections that by their nature should survive (including payment, IP, disclaimers, and limitations of liability) will survive.

These Terms are governed by the laws of the State of Florida, USA, without regard to its conflict-of-law principles. Any dispute will be brought exclusively in the state or federal courts located in Duval County, Florida.

We may update these Terms from time to time. Material changes will be indicated by updating the “Effective” date above. Continued use of the Services after changes constitutes acceptance.
